Terms of Service

These Terms of Service (“Terms”) are an agreement between you and the operators of Openly (“Openly,” “we,” “us,” or “our”). They apply when you access or use the Openly mobile application, related pages, and any services that link to these Terms.

By creating an account, signing in, tapping to accept these Terms, or using Openly, you agree to these Terms, our Community Guidelines, and our Privacy Policy. If you do not agree, do not use Openly.

1. What Openly Is

Openly is an iOS app for adults who want intentional conversations. Members create short “Moments,” answer opening questions, send and receive interest requests, chat privately after a request is accepted, and may choose to reveal profile details only when both people are eligible and opt in.

Openly is not an emergency service, background check service, identity verification service, mental health service, medical service, legal service, or promise that any connection will be safe, compatible, or successful. Use your own judgment when deciding what to share, whether to continue a conversation, or whether to meet someone outside the app.

2. Eligibility

You may use Openly only if:

Openly is for adults only. If we learn that a member is under 18 or has misrepresented age, we may remove the account and related content.

3. Your Account

You may sign in using supported authentication options such as Sign in with Apple or Google Sign-In. You are responsible for the activity on your account and for keeping your sign-in credentials secure.

You agree to provide accurate profile information, including your birthday, age, gender selection, location, username, and profile photo. Some profile fields, including age and gender, may not be editable after setup because they are part of Openly’s trust and safety model.

You may not sell, rent, share, transfer, or create accounts for others. You may not impersonate anyone, create misleading profiles, or use automated systems to create accounts or interact with Openly.

4. Profiles, Moments, Requests, Chats, and Reveal

Openly is designed around gradual disclosure, but it does not guarantee anonymity.

You are responsible for what you choose to disclose. Do not share highly sensitive personal information, financial information, login credentials, home addresses, or other information you would not want another person to keep or copy.

5. Your Content

“Your Content” means information, text, profile details, photos, Moment posts, answers, messages, images, usernames, and other material that you submit, upload, send, or display in Openly.

You keep ownership of Your Content. To operate Openly, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, transmit, modify for formatting, create backups of, and otherwise use Your Content for the purposes of operating, improving, securing, enforcing, and providing Openly. This license ends when Your Content is deleted from our active systems, except where retention is allowed under our Privacy Policy, needed for safety or legal reasons, or preserved in backups for a limited period.

You represent that you have the rights needed to submit Your Content and that Your Content does not violate these Terms, the Community Guidelines, the rights of others, or applicable law.

Do not submit confidential information or content you do not have permission to share. We are not responsible for another member’s use, copying, screenshotting, or disclosure of information you choose to share.

7. Safety and Offline Interactions

Openly cannot verify everything members say or do. You are responsible for your interactions with other members online and offline.

If you decide to meet someone outside Openly, take precautions: meet in a public place, tell someone you trust, arrange your own transportation, keep control of your drink and belongings, and leave if you feel uncomfortable. Do not pressure another person to meet, reveal, share contact details, send photos, continue chatting, or move off Openly.

If you believe someone is in immediate danger, contact local emergency services. In the United States, you can call or text 988 for the Suicide and Crisis Lifeline when appropriate.

8. Moderation and Enforcement

We may, but are not required to, review content or account activity. We may remove content, reduce visibility, suspend or terminate accounts, block access, preserve information, report activity to law enforcement, or take other action if we believe there is a violation of these Terms, the Community Guidelines, law, or a risk to people, Openly, or our service providers.

We may make mistakes in moderation decisions. If appeal or support tools are available, you may use them to ask us to review an action.

9. Account Deletion and Termination

You may delete your profile through the app where that feature is available. Deleting your profile is intended to remove your profile, active Moments, requests, chats, messages, reveal states, push tokens, and uploaded profile media from Openly’s active app systems, subject to technical limits, legal requirements, safety needs, service-provider retention, and backups as described in our Privacy Policy.

We may suspend or terminate your access to Openly at any time if we believe you violated these Terms, created risk, exposed us or others to liability, or used Openly in a way that harms the service or community.

Sections that by their nature should survive termination will survive, including content licenses needed for retained records, disclaimers, limitations of liability, indemnity, and dispute provisions.

10. Third-Party Services

Openly may rely on third-party services, including Apple, Google, Firebase, Google Cloud, authentication providers, storage providers, push notification services, and app-store platforms. Their terms and privacy practices may apply to your use of those services. We are not responsible for third-party services that we do not control.

11. Changes to Openly or These Terms

Openly is still evolving. We may add, change, pause, or remove features, eligibility requirements, reveal mechanics, safety systems, availability, or integrations. We may also update these Terms. If a change is material, we will take reasonable steps to notify members, such as updating the “Last updated” date, posting notice, or asking for renewed acceptance where appropriate.

Your continued use of Openly after updated Terms become effective means you accept the updated Terms.

12. Disclaimers

To the fullest extent permitted by law, Openly is provided “as is” and “as available.” We do not make warranties that Openly will be uninterrupted, secure, error-free, available in every location, or that content will be accurate, reliable, or preserved. We do not guarantee matches, compatibility, identity, background, conduct, safety, or outcomes from using Openly.

Some laws do not allow certain disclaimers, so parts of this section may not apply to you.

13. Limitation of Liability

To the fullest extent permitted by law, Openly and its operators, contributors, service providers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, personal injury, emotional distress, or damages arising from member conduct, offline meetings, unauthorized access, service interruptions, or your use of or inability to use Openly.

To the fullest extent permitted by law, our total liability for any claim relating to Openly or these Terms will not exceed the greater of the amount you paid to use Openly in the six months before the claim or 100 U.S. dollars.

Some laws do not allow certain limitations of liability, so parts of this section may not apply to you.

14. Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Openly and its operators, contributors, service providers, and affiliates from claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from or related to your use of Openly, Your Content, your interactions with other members, or your violation of these Terms, the Community Guidelines, law, or another person’s rights.

15. Disputes and Governing Law

Please contact us first so we can try to resolve concerns informally. Unless applicable law requires otherwise, these Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules.

You and Openly agree that disputes should be resolved on an individual basis and not as part of a class, consolidated, or representative action, except where applicable law gives you non-waivable rights.
